Terms of Service

These Terms of Service govern the custom software engineering, cloud infrastructure architecture, mobile application development, and consulting services provided by MindNext Technologies ("MindNext", "we", "us", or "our").

By accessing our website or entering into a Statement of Work (SOW) or project agreement with MindNext, you ("Client", "User") agree to be bound by these Terms of Service.

1. Scope of Services

MindNext provides technology consulting, custom web and mobile application engineering, cloud DevOps, and artificial intelligence solutions as agreed upon in writing between MindNext and the Client. Specific deliverables, sprint schedules, milestones, and costs will be defined in individual Statements of Work (SOW).

2. Agile Delivery & Acceptance

• All engineering work is executed in milestone sprints with continuous staging deployments.
• Upon completion of a sprint milestone, the Client has a standard review period of ten (10) business days to evaluate deliverables against agreed acceptance criteria.
• Any requested modifications outside the initial scope of work will be estimated and managed through a mutually approved change order.

3. Intellectual Property and Source Code Ownership

• 100% Client Ownership: Upon receipt of agreed milestone payment, MindNext irrevocably transfers full ownership of all custom source code, documentation, database designs, and deliverables created under the SOW to the Client.
• Open Source Components: Standard third-party open source packages (e.g., React, Node.js libraries) remain governed by their respective open-source licenses (such as MIT or Apache 2.0).

4. Confidentiality and Non-Disclosure

Both MindNext and the Client agree to maintain the strict confidentiality of all proprietary business data, trade secrets, source code, customer records, and technical architecture information shared during the engagement. Confidentiality obligations remain in effect for five (5) years following project completion.

5. Warranty & Defect Resolution

• MindNext provides a thirty (30) day warranty post-production launch during which we will fix any reproducible code bugs or defects free of charge.
• All delivered software undergoes unit testing, static code analysis, and security verification prior to delivery.

6. Limitation of Liability

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, punitive, or consequential damages. Total cumulative liability under any specific agreement shall not exceed the total fees paid by Client to MindNext under that agreement.

7. Termination

Either party may terminate an engagement for convenience with thirty (30) days written notice. In the event of termination, the Client is responsible for paying for all work completed up to the date of termination, and MindNext will deliver all corresponding code and assets.
